Pass-Through Taxation & ECI

By default, single-member LLCs are treated as disregarded entities. If you are a non-US resident, operate entirely outside the US, and have no US employees or physical offices, your income is not considered 'Effectively Connected Income' (ECI), meaning you generally owe 0% US income tax.

IRS Form 5472 and 1120 Filing

While you may owe no taxes, you MUST file Form 5472 and Pro-Forma Form 1120 with the IRS every year by April 15. Failing to submit these informational returns carries a minimum penalty of $25,000.
